General Terms of Sale

Last updated: 15 October 2026

Article 1 — Purpose and scope

These General Terms of Sale (the “Terms”) govern the provision of the services offered on the Strategic Diagnostic website (the “Service”), available at https://sd360.agencealps.com, by Agence Alps (the “Publisher”). Any subscription to a paid service implies full and unreserved acceptance of these Terms.

The Service is reserved exclusively for professionals — natural or legal persons acting for purposes within the scope of their commercial, industrial, craft, professional or public-interest activity (businesses, associations, consultants, local authorities). By subscribing, the Customer declares that it is acting in a professional capacity and acknowledges that the contractual relationship does not fall within the scope of consumer law.

Article 2 — Publisher details

Agence Alps — SAS (French simplified joint-stock company) with a share capital of €1,000, registered office at 39 chemin de la poste, 97416 Saint-Leu (La Réunion, France), registered with the RCS (Trade and Companies Register) of Saint-Pierre de la Réunion under SIREN number 994 949 204 (SIRET 994 949 204 00014), intra-EU VAT number FR96 994 949 204. Publication director: François VEAULEGER, President. Contact: contact@agencealps.com. See also the legal notice.

Article 3 — Description of the services

The Service generates strategic diagnostics of businesses and associations from public data, documents supplied by the Customer and automated processing. It offers:

  • A free “Discovery” offer: one diagnostic, with access to the “Essentials” chapter of the report, with no means of payment required.
  • The “Independent” subscription: a quota of diagnostics per period, all chapters, exports and read-only sharing, for one user (one seat).
  • The “Guided” subscription: the content of the Independent plan for two users (two seats), supplemented by a thirty (30) minute onboarding session at the start, one hour of video-call support per quarter and priority support. Support hours cannot be carried over from one period to the next.
  • “Managed”: a service provided on quotation — the diagnostic is carried out, presented and followed up by the Publisher’s team, with the Service included as a management tool.

The precise features, quotas and prices are those displayed on the Service at the time of the order.

Article 4 — User account

Access to the services requires the creation of an account (by e-mail and password, or via Google sign-in). The user guarantees the accuracy of the information provided and is responsible for keeping their login details confidential. An account is strictly personal: one subscription seat corresponds to one named user, invited by the subscription holder.

Article 5 — Prices and taxes

Prices are shown on the Service excluding VAT (excl. VAT). The applicable VAT is calculated and added automatically at the time of payment, depending on the Customer’s location and intra-EU VAT number (reverse charge for business customers established in the European Union outside France), via the payment provider Stripe. The amount including all taxes (incl. VAT) is displayed before the payment is confirmed.

For information, as at 15 October 2026: Independent €189 excl. VAT/month or €1,890 excl. VAT/year; Guided €289 excl. VAT/month or €2,890 excl. VAT/year; Managed on quotation. The Publisher reserves the right to change its prices at any time; the applicable price is the one in force at the time of the order (or of the renewal, for subscriptions).

Article 6 — Payment

Payments are processed securely by the payment provider Stripe. The Publisher never has access to full bank card details. Payment is due on ordering or, in the case of a trial, at the end of the trial, and then at the start of each subscription period. If a subscription payment fails, access to the paid features may be suspended.

Article 7 — Subscriptions: trial, term, change of plan and cancellation

Trial. A Customer’s first subscription opens a seven (7) day trial, subject to providing a bank card, limited to two diagnostics. A reminder is sent by e-mail the day before the trial ends. Unless cancelled before the trial ends, the subscription starts automatically at the end of the trial and the first payment is taken on that date; nothing is charged if the subscription is cancelled during the trial. If no valid means of payment is available at the end of the trial, the subscription does not start. Only one trial is granted per Customer. Diagnostics launched during the trial remain available in read-only mode afterwards.

Referral offer. A code provided by one of the Publisher’s partners may open, without any means of payment, temporary access to a plan (for the duration stated on activation), once per Customer. At the end of that period, the account reverts to the Discovery offer unless a subscription is taken out; no further trial is then granted.

Seats. The subscription holder invites named users within the seat limit of their plan and may release a seat at any time. When moving to a plan with fewer seats, access beyond the new limit is suspended, starting with the most recently invited users.

Term. The subscription is entered into for a period of one month or one year depending on the option chosen, and is tacitly renewed for successive periods of the same length. The diagnostic quota is monthly, including for the annual option: it is reset each month on the subscription’s anniversary date, and unused diagnostics are not carried over.

Change of plan. The Customer may change plan at any time from their billing area; the change takes effect immediately and the amount is adjusted pro rata to the time remaining in the current period, whether upwards or downwards.

Cancellation. The Customer may cancel at any time from their billing area (Stripe customer portal); cancellation takes effect at the end of the current period, until which access is maintained. The account then reverts to the Discovery offer.

Article 8 — No right of withdrawal

As the Service is reserved exclusively for professionals acting in the course of their business (Article 1), the right of withdrawal provided for by the French Consumer Code (Code de la consommation, Articles L. 221-18 et seq.) does not apply. Orders are firm and final as soon as they are confirmed, subject to the trial (Article 7) and to the refund provided for in Article 9.

Article 9 — Refunds

The Customer may request a refund of their first subscription payment within fourteen (14) days of that payment, by simple written request to the Publisher; the subscription is then cancelled. For an annual option, the refund is calculated pro rata to the unused part of the period. After that period, sums paid are non-refundable, although the subscription may be cancelled for the future (Article 7).

Article 10 — Availability and maintenance

The Publisher endeavours to keep the Service available 24 hours a day, without being able to guarantee it (maintenance, technical incidents, reliance on third-party services and data). A temporary interruption does not give rise to any compensation. If a technical failure prevents a diagnostic from being produced, the corresponding credit is returned to the account.

Article 11 — Nature of the analyses and liability

Diagnostics are produced automatically from public data (data.gouv.fr, INPI, BODACC, public reviews, etc.), any documents supplied by the Customer and analytical models. They are decision-support tools and not professional advice. The Publisher does not guarantee the accuracy, completeness or currency of third-party data and cannot be held liable for decisions taken on the basis of the reports. Should the Publisher’s liability be incurred, it would be limited to the amounts actually paid by the Customer for the order concerned.

Article 12 — Intellectual property

The Service, its method and its content remain the property of the Publisher. The Customer has a right to use the generated reports for its own purposes. It may pass the generated reports on to its own clients as part of its consulting or support assignments, provided that the mention of their origin is retained. It may neither resell access to the Service nor sell its reports as a stand-alone product.

Article 13 — Personal data (GDPR)

The processing of personal data is described in the privacy policy. In accordance with the GDPR, users have the rights of access, rectification, erasure, restriction, objection and portability, which may be exercised by writing to contact@agencealps.com. They may lodge a complaint with the CNIL (French data protection authority, www.cnil.fr).

Article 14 — Governing law and disputes

These Terms are governed by French law. In the event of a dispute, the parties will endeavour to reach an amicable settlement. Failing agreement, and by express derogation agreed between professionals (Article 48 of the French Code of Civil Procedure, Code de procédure civile), exclusive jurisdiction is conferred on the courts within whose district the Publisher’s registered office is located, including in the event of multiple defendants, incidental claims or third-party warranty claims.
